5. Fees and Payment; Refund Policy.
You may be required to purchase or pay a fee to access some of the Services. For such paid services, access will be provided for six calendar months from the date of payment. This access will not automatically renew, and a separate purchase is required to continue access after the expiration of the current term.
You agree to promptly update account and contact information so that we can complete your transactions and contact you as needed. Sales tax may be added to the price of purchases as required by law. We may change prices at any time. All payments shall be in U.S. dollars. You agree to pay all charges or fees at the prices then in effect for your purchases.
We reserve the right to correct any errors or mistakes in pricing, even if we have already requested or received payment. We also reserve the right to refuse any order placed through the Website or Services.
Refund Policy: You may request a refund within 48 hours of your purchase for any reason by submitting a request through our customer-support platform. If the request is valid and submitted timely, your entire purchase price will be refunded. For requests submitted outside the 48-hour refund window, refunds will only be provided upon our sole discretion and under appropriate circumstances, including but not limited to duplicate charges, payment/access failures, or material technical failures that prevent use of the purchased services. Upon approval of your refund request, we will terminate your access to any paid service associated with the purchase for which you were refunded. Nothing in this policy limits any refund or other right you are entitled to under applicable law.
6. User-submitted information; License.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO US DURING THE TWELVE (12) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING. CERTAIN US STATE LAWS AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE DISCLAIMERS OR LIMITATIONS MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS.
12. Intellectual Property.
Unless otherwise indicated, the Website and Services are Company’s proprietary property and all source code, databases, functionality, software, designs, audio, video, text, photographs, and graphics on the Website and Services (collectively, the “Content”) and the trademarks, service marks, and logos contained therein (the “Marks”) are owned or controlled by us or licensed to us, and are protected by copyright and trademark laws and various other intellectual property rights and unfair competition laws of the United States, international laws, and international conventions. 14. Termination
These TOU shall remain in full force and effect while you use the Website and/or Services and, except for those provisions which expressly or by their nature are intended to survive termination or expiration, shall terminate upon termination or deletion of your account.
WITHOUT LIMITING ANY OTHER PROVISION OF THESE TOU, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE WEBSITE AND/OR SERVICES (INCLUDING BLOCKING CERTAIN IP ADDRESSES), TO ANY PERSON FOR ANY REASON OR FOR NO REASON, INCLUDING WITHOUT LIMITATION FOR BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT CONTAINED IN THESE TOU OR OF ANY APPLICABLE LAW OR REGULATION. WE MAY TERMINATE YOUR USE OR PARTICIPATION IN THE WEBSITE AND/OR SERVICES OR DELETE YOUR ACCOUNT AND ANY CONTENT OR INFORMATION THAT YOU POSTED AT ANY TIME, WITHOUT WARNING, IN OUR SOLE DISCRETION.
If we terminate or suspend your account for any reason, you are prohibited from registering and creating a new account under your name, a fake or borrowed name, or the name of any third party, even if you may be acting on behalf of the third party. In addition to terminating or suspending your account, we reserve the right to take appropriate legal action, including without limitation pursuing civil, criminal, and injunctive redress.
15. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees, from and against any loss, damage, liability, claim, or demand, including reasonable attorneys’ fees and expenses, made by any third party due to or arising out of: (1) information and content you have provided to us; (2) use of the Website and/or Services; (3) breach of these TOU; (4) any breach of your representations and warranties set forth in these TOU; or (5) your violation of the rights of a third party, including but not limited to intellectual property rights. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.
16. Governing Law
These TOU and your use of the Website and Services are governed by and construed in accordance with the laws of the State of Ohio applicable to agreements made and to be entirely performed within the State of Ohio, without regard to its conflict of law principles.
17. Dispute Resolution; Class Action Waiver.
NOTWITHSTANDING ANYTHING IN THESE TOU TO THE CONTRARY AND TO THE EXTENT PERMISSIBLE UNDER APPLICABLE LAW, YOU AND COMPANY AGREE TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT, SUCH AS ACCESS TO DISCOVERY, ALSO MAY BE UNAVAILABLE OR LIMITED IN ARBITRATION.
Any dispute between you and Company (and its agents, employees, members, officers, directors, principals, successors, assigns, and/or Affiliates) arising from or relating to these TOU and their interpretation or the breach, termination or validity thereof, the relationships which result from these TOU, including disputes about the validity, scope or enforceability of this arbitration provision will be settled by binding arbitration in Columbus, Ohio administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules then in effect. Prior to initiating any arbitration, the initiating party will give the other party at least sixty (60) days’ advanced written notice of its intent to file for arbitration. Company will provide such notice by email to your email address on file with Company. You must provide your notice via email to legal@compareyourbenefit.com with “Legal Dispute” appearing in the subject line. During such 60-day notice period, you and Company will endeavor to settle amicably by mutual discussions any disputes.
Payment of all filing, administration and arbitrator fees will be governed by the AAA’s rules. If the arbitrator determines the claim(s) you assert in the arbitration are frivolous, you agree to reimburse Company for all fees and expenses associated with the arbitration that Company has paid.
The arbitrator will have the power to grant whatever relief would be available in court under law or in equity and any award of the arbitrator will be final and binding on each of the parties and may be entered as a judgment in any court of competent jurisdiction. The arbitrator will not, however, have the power to award punitive or exemplary damages, the right to which you and Company hereby waive, and the arbitrator will apply applicable law and the provisions of these Terms. Company and you agree that any dispute will be submitted to arbitration on an individual basis only. NEITHER COMPANY NOR YOU ARE ENTITLED TO ARBITRATE ANY DISPUTE AS A CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY ACTION AND THE ARBITRATOR WILL HAVE NO AUTHORITY TO PROCEED ON A CLASS, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL BASIS. If any provision of these arbitration provisions is found to be unenforceable, the unenforceable provision(s) will be severed and the remaining arbitration terms will be enforced. Regardless of any statute or law to the contrary, notice on any claim arising from or related to these Terms must be made within one (1) year after such claim arose or be forever barred. For purposes of this section, these Terms and related transactions will be subject to and governed by the Federal Arbitration Act, 9 U.S.C.§§ 1-16.
Notwithstanding the above, if your claims qualify for small claims court, you may elect to bring an individual action in any small claims court of competent jurisdiction instead of engaging in arbitration as set forth in this Section 17. This election may be made at any time before an arbitrator is appointed. In any small claims action or litigation, the local rules of court shall apply in lieu of the remaining provisions of this Section 17. If the dispute is removed, appealed, or escalated from small claims court to a court of general jurisdiction, the dispute must then be resolved exclusively through binding arbitration in accordance with the terms of this Section 17.
18. Miscellaneous
These TOU and any policies or operating rules posted by us on the Website and/or Services or in respect to the Website and/or Services constitute the entire agreement and understanding between you and us. Our failure to exercise or enforce any right or provision of these TOU shall not operate as a waiver of such right or provision. These TOU operate to the fullest extent permissible by law. We may assign any or all of our rights and obligations to others at any time. You may not assign any of your rights or obligations to any other party without our prior written consent. We shall not be responsible or liable for any loss, damage, delay, or failure to act caused by any cause beyond our reasonable control. If any provision or part of a provision of these TOU is determined to be unlawful, void, or unenforceable, that provision or part of the provision is deemed severable from these TOU and does not affect the validity and enforceability of any remaining provisions. There is no joint venture, partnership, employment or agency relationship created between you and us as a result of these TOU or use of the Website and/or Services. You agree that these TOU will not be construed against us by virtue of having drafted them. You hereby waive any and all defenses you may have based on the electronic form of these TOU and the lack of signing by the parties hereto to execute these TOU.
